1. About these Terms
These Terms of Service (“Terms”) govern every order placed through NADA-Labs at nada-labs.com and every use of the website.

The Shipping, Delivery & Returns Policy, the Privacy Policy and the Cookie Policy form part of these Terms. Where the Shipping, Delivery & Returns Policy contains a more specific rule on shipping, delivery, claims or refunds, that rule prevails.
By submitting an order, creating an account or otherwise using the website, the purchaser accepts these Terms. Purchasing terms or conditions of the purchaser do not apply unless NM Group Global Limited has agreed to them in writing.
2. Business and Research Customers Only
NADA-Labs supplies products exclusively to verified businesses, universities, laboratories, research institutions, public bodies and other professional customers acting within their commercial, scientific or professional activities.
We do not accept orders from consumers acting for personal purposes. Consumer-protection rules that apply only to contracts with consumers are therefore not applicable to orders placed with NADA-Labs.
By placing an order, the purchaser confirms that:
- the purchaser is a business, laboratory, research institution or professional acting in that capacity;
- the person placing the order is at least 18 years old and authorised to bind the purchaser;
- all information supplied during verification and checkout is complete and accurate; and
- the products will be used exclusively for legitimate laboratory or research purposes.
We may request additional information or documentary evidence at any time and may decline, suspend or cancel an order or account where verification fails or where we have reasonable grounds to believe that these conditions are not met.
3. Research-Use Restriction
All products offered by NADA-Labs are chemical reference materials supplied strictly for in-vitro laboratory research and analytical use.
They are not medicinal products, dietary supplements, cosmetics or food. They have not been evaluated or approved by any regulatory authority for use in humans or animals and must not be used for diagnosis, treatment, prevention of disease, or any form of human or veterinary consumption or administration.
Product descriptions, batch data and Certificates of Analysis describe the physical and chemical properties of the material only. Nothing on the website constitutes medical, health, dosing or safety advice.
The purchaser is solely responsible for ensuring that the purchase, possession, importation, storage, handling and intended research use of the products comply with all laws, regulations, institutional rules and safety requirements that apply to the purchaser.
4. Customer Accounts
The purchaser may order as a guest or through a customer account.
The account holder must keep login credentials confidential, ensure that account details remain accurate and inform us promptly of any unauthorised use. Orders placed through an account are deemed to be placed by the account holder.
We may suspend or close an account that is used in breach of these Terms, for suspected fraud or misuse, or where verification cannot be completed.
5. Products, Specifications and Certificates of Analysis
Each batch is released with a Certificate of Analysis documenting identity and purity at the time of release. Certificates can be retrieved on the Lab Reports page by batch number and are provided for information only.
Product specifications may be updated from time to time. Illustrations are for identification; packaging, vial format and labelling may vary.
Despite careful review, the website may contain typographical or pricing errors. We may correct errors and cancel affected orders before dispatch; any payment received for a cancelled order will be refunded.
6. Orders and Contract Formation
The presentation of products on the website is an invitation to order and not a binding offer.
By clicking the order button at the end of checkout, the purchaser submits a binding offer to purchase the products in the cart. The automated order-confirmation email only acknowledges receipt of the offer.
A contract is formed only when we send the dispatch confirmation or hand the products to the carrier, whichever occurs first. Until then we may decline an order, in particular where:
- verification of the purchaser or institution fails or is incomplete;
- the product is unavailable or the batch has been withdrawn;
- payment cannot be confirmed;
- delivery to the destination is unlawful, restricted or not possible; or
- legal, compliance or safety concerns arise.
7. Prices
Prices are stated in euro (EUR). Unless stated otherwise at checkout, prices exclude shipping charges, import duties, customs charges and local taxes, which are shown separately or borne by the purchaser as set out in the Shipping, Delivery & Returns Policy.
Quantity discounts for 5-vial and 10-vial packs are applied automatically in the cart and cannot be combined with other discounts unless expressly stated.
The price shown at the time the order is submitted applies to that order. We may change prices at any time for future orders.
8. Payment
Available payment methods are shown during checkout. Orders are processed and dispatched only after full payment has been received and confirmed.
For bank transfers, payment must be received within 14 days of the order; otherwise the order may be cancelled and the stock released.
For payments in cryptocurrency, the amount due is fixed at the rate shown at checkout for the payment window stated there. Network and exchange fees are borne by the purchaser. Overpayments and underpayments are handled at our reasonable discretion, and we may request additional payment or refund a balance net of transaction costs.
Chargebacks or payment reversals initiated without prior contact with us may lead to suspension of the account and referral of the matter to the payment provider.
9. Shipping, Delivery and Transfer of Risk
Shipping, delivery times, customs, address accuracy, packaging and the transfer of risk are governed by the Shipping, Delivery & Returns Policy.
Title to the products passes to the purchaser only after payment has been received in full. Risk of accidental loss or damage passes to the purchaser when the shipment is accepted by the carrier, unless a different delivery term is expressly agreed in writing.
10. All Sales Final; Claims
Due to the sealed, sensitive and traceable nature of laboratory research materials, all sales are final once an order has been dispatched. We do not accept returns, exchanges or refunds for a change of mind, over-ordering, misunderstanding of the intended research use, failure to obtain licences or approvals, customs refusal, or improper storage, handling or use.
Claims for an incorrect product, visible transport damage, compromised packaging, material non-conformity with the published specification at the time of dispatch, or a shipment confirmed as lost by the carrier are handled exclusively under sections 12 to 16 of the Shipping, Delivery & Returns Policy, including the reporting deadlines stated there.
Products must not be returned or destroyed without our prior written instruction.
11. Storage, Handling and Use
The purchaser must transfer products promptly after delivery to the storage conditions stated on the label, product page, accompanying documentation or Certificate of Analysis, and must handle them in accordance with good laboratory practice and applicable safety rules.
We are not responsible for deterioration, contamination or damage caused after delivery by unsuitable storage, handling, reconstitution, opening, unauthorised use or failure to follow the supplied instructions.
12. Warranties and Disclaimers
We warrant that, at the time of dispatch, the products conform in all material respects to the published specification for the relevant batch.
To the fullest extent permitted by applicable law, all other warranties, conditions and representations, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose or suitability for a particular experiment, are excluded.
Delivery times, batch availability and website availability are not guaranteed.
13. Limitation of Liability
To the fullest extent permitted by applicable law, NM Group Global Limited is not liable for indirect, incidental, special or consequential losses, including loss of profit, research time, data, opportunity or anticipated savings, arising from or in connection with these Terms, an order, the products or the website.
Subject to liabilities that cannot lawfully be excluded or limited, the total aggregate liability of NM Group Global Limited arising from or in connection with an order will not exceed the amount paid for that order.
Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any other liability that cannot legally be excluded or limited.
14. Indemnity
The purchaser will indemnify NM Group Global Limited, its directors, employees and agents against all claims, losses, damages, costs and expenses, including reasonable legal fees, arising from:
- any use of the products contrary to section 3;
- any breach of section 2 or of the confirmations given at checkout;
- unlawful importation, possession, resale or distribution of the products; or
- any breach of applicable law by the purchaser or by persons to whom the purchaser has supplied the products.
15. Compliance, Export Controls and Sanctions
The purchaser must comply with all import, export, sanctions and chemical-control laws that apply to the order and the destination.
We may refuse to supply, and may cancel any order, to a destination, entity or person where supply would breach applicable sanctions, export-control or chemical-control laws, or where we are otherwise unable to complete the required compliance checks.
16. Intellectual Property
The website, its texts, images, batch data, certificates and design are protected by copyright and other intellectual-property rights of NM Group Global Limited or its licensors. They may not be copied, reproduced, distributed or used commercially without prior written consent, except for retrieving a Certificate of Analysis for a purchased batch.
Product names, CAS numbers and sequence information are used for identification only.
17. Use of the Website
The purchaser must not interfere with the operation or security of the website, attempt to gain unauthorised access, scrape or systematically extract data, or use the website for any unlawful purpose.
The website may contain links to external websites over which we have no control; we accept no responsibility for their content.
We may modify, suspend or withdraw the website or any part of it at any time without notice.
18. Data Protection
Personal data is processed as described in the Privacy Policy. Cookies and similar technologies are described in the Cookie Policy.
19. Changes to these Terms
We may update these Terms when our products, procedures or legal obligations change. The version published on the website at the time an order is submitted applies to that order, unless a later change is required by mandatory law or expressly agreed with the purchaser.
20. Governing Law and Jurisdiction
These Terms and any contractual or non-contractual dispute arising from them or from an order are governed by the laws of the Hong Kong Special Administrative Region.
The courts of Hong Kong shall have exclusive jurisdiction, unless the parties have agreed otherwise in writing or a mandatory rule of applicable law requires a different jurisdiction.
21. General Provisions
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force, and the invalid provision will be replaced by a valid provision that comes closest to its commercial purpose.
These Terms, together with the policies referred to in section 1 and the order confirmation, constitute the entire agreement between the parties regarding the order.
A failure or delay in exercising a right under these Terms does not constitute a waiver of that right.
The purchaser may not assign or transfer rights or obligations under these Terms without our prior written consent.
These Terms are drafted in English. Any translation is provided for convenience only; in case of conflict the English version prevails.
Notices to us may be sent by email to the address in section 22. Notices to the purchaser may be sent to the email address associated with the order or account.
